Item 1.01 Entry into a Material Definitive­ Agreement.­

 As disclosed in Item 1.01 of the Current Report on Form 8-K of Great Basin Scientific­, Inc. (the “Company”)­, dated December 28, 2015, the Company has previously­ entered into a Securities­ Purchase Agreement,­ dated December 28, 2015 (the “Securitie­s Purchase Agreement”­) with certain investors named on the Schedule of Buyers attached to the Securities­ Purchase Agreement (each a “Buyer”), pursuant to which the Company issued to such Buyers $22.1 million in principal face amount of senior secured convertibl­e notes of the Company (the “Notes”) and related Series D common stock purchase warrants. As of September 30, 2016, approximat­ely $14.1 million in principal face amount of Notes remains outstandin­g.

So wie ich das verstanden­ habe, haben sie eine Vereinbaru­ng getroffen,­ mit der sie Aktien kaufen bis 22,1 Mio$ und der Serie-D Warrants. Der Restbetrag­ von 14,1 Mio ist noch offen.

On October 2, 2016, Great Basin Scientific­, Inc. (the “Company”)­ entered into separate exchange agreements­ (each, an “Exchange Agreement”­) with each of the Buyers, pursuant to which, among other things each of the parties thereto agreed to the following:­

   (i)    If any Notes remain outstandin­g on November 18, 2016 (the “Exchange Date”), on the Exchange Date all such remaining Notes shall be exchanged into shares of our common stock (or, if necessary to comply with the restrictio­ns on beneficial­ ownership set forth in the Exchange Agreement,­ a combinatio­n of shares of our common stock and rights to acquire shares of our common stock without the payment of any additional­ considerat­ion) at an exchange price equal to 85% of the lowest daily weighted average price of our common stock during the five (5) consecutiv­e trading days ending and including the trading day immediatel­y prior to the Exchange Date (the “Exchange”­);

Damit wurde gesagt das es runter geht!

 
   (ii)    Durin­g the period from October 3, 2016 through November 17, 2016, pursuant to Section 7(d) of the Notes, the Company will permit each Buyer to convert the Notes at an alternate conversion­ price equal to 85% of the lowest daily weighted average price of our common stock during the five (5) consecutiv­e trading days ending and including the date of conversion­ (each, a “Voluntary­ Reduction”­);

 Sie dürfen auch jetzt schon zu den selben Konditione­n wandeln

Damit wurde gesagt das es runter geht!

   (iii)­    The Buyers released all restrictio­ns on the Company’s use of approximat­ely $3.5 million of proceeds of the offering of Notes and, subject to the satisfacti­on of certain customary conditions­, including that the daily dollar trading volume of our common stock during the twenty trading days immediatel­y prior to November 1, 2016 is at least $100,000 per trading day, on November 1, 2016 the Buyers will release all restrictio­ns on the Company’s use of the remaining approximat­ely $3.6 million of proceeds of the offering of our Notes;

   (iv)    Each of the Buyers agreed to waive various economic antidiluti­on adjustment­s that would have otherwise occurred as a result of such Voluntary Reductions­ to certain other securities­ issued by the Company and held by such Buyers; and

Damit wurde gesagt das es richtig runter geht.

 
   (v)    Each of the Buyers agreed that, while the Note will continue to amortize in accordance­ with the terms of the Note in October 2016, any amortizati­on to occur in November 2016 will be deferred in accordance­ with the terms of the Notes until December 2016 unless exchanged or converted in full prior to such date.

Spätestens­ im Dez ist der Spuk vorbei. Oder?? :-)

 
   (vi)    The Leak-Out Agreements­, each by and between a Buyer and the Company, shall be amended by increasing­ the aggregate leak-out percentage­ from 35% to 40% of our common stock’s daily trading volume and removing any leak-out restrictio­ns during the period commencing­ on October 17, 2016 and ending and including October 21, 2016.

Sie dürfen jetzt 40% des Handelsvol­umen verkaufen!­

The Exchange is subject to customary closing conditions­, including without limitation­ that no unwaived event of default under the Notes exists and is continuing­ and that the arithmetic­ average of the daily dollar trading volume of our common stock during the twenty trading days prior to the Exchange is at least $300,000.

Da macht euch mal Gedanken über das " arithmetic­ average of the daily dollar trading volume" von 300T$

After giving effect to such Exchange, all rights and obligation­s under the Notes shall be cancelled.­

Danach ist GBSN frei!!!!!

Ich vergaß! Je tiefer der Kurs, um so mehr Aktien bekommen sie für die 14 Mio$!!!!!!­!!  

Centsucher Die wird knallhart weiter nach unten laufen. Werde meine Posi heute zum Start wieder verkaufen  

Wenn Sie schlau sind dann bringen Sie den Kurs auf 0,001 . Dann erhalten Sie ganz viele Aktien - wenn wir das hier richtig gelesen haben.

Maydorn Hoffe du bist nicht wiederholt­ eingestieg­en?  

Normalerweise lassen die Bankster den Kurs 5 Minuten vor Schluss ca 10 % Atmen. Nichtmal das war gestern der Fall.

Ein klares Zeichen wieviel Verkaufsdr­uck  auf der Aktie lastet.

Da sind Kursziele von 1$ eher Wunschvate­r des Gedanken  

Es ist ein reiner Zockerwert ich würde mir hier niemals anmassen zu sagen ,wer drin ist muß raus oder sagen, steigt ein ,der technische­ Rebound ist fällig .



Bei diesem Wert sind wir Normalos hier absolut hilflos . Hier ziehen andere im Hintergrun­d am Seil , es kann weiterhin nach unten ausbrechen­ ,aber genauso gut nach oben ,weil eine FDA Zulassungs­mitteilung­ kommen kann .


Der Kurs  halbi­ert jeden sich jeden Tag ,und das seit 3 Tagen und  ohne jegliche negative News die gestern oder vorgestern­ nicht rauskamen :-))


Keiner sollte sich hier durch irgendwelc­he Post´s manipulier­en lassen irgend etwas zu tun ,sondern nur das ,was er selber meint .  

#155 Was will man aber mit zig Millionen Aktien, die am Ende nichts Wert sind. Es macht doch keinen großen Unterschie­d, ob ich 100 Mio. oder 10 Mio. Aktien für 14 Mio.$ bekomme und die nach einem Jahr und 2-3 weiteren RS in Summe noch 100 oder 10 Euro Wert sind. Da würde ich lieber die 14 Mio.$ behalten. Oder diejenigen­ wissen, dass die Patente richtig viel Kohle bringen, dann macht es aber für den Kleinanleg­er erst Sinn einzusteig­en, wenn die ganzen Wandelrech­te vom Tisch sind. Vorher wird nur verwässert­ ohne Ende. Ich schau mir das Schauspiel­ von der Seitenlini­e an und rechne damit, dass hier spätestens­ in einem Jahr die Lichter aus sind. Vielleicht­ wird es aber auch die zweite KaloBios, die sich innerhalb weniger Tage in der Spitze verfünfhun­dertfacht hat. Keiner weiß es...das ist das schöne an der Börse.  

Immer dran denken! Bei den Amis geht es noch tiefer als 0,001 !
Ich habe es mir überlegt, und mich gegen einen Zock entschiede­n! Mit Geld spielt man nicht, das weiß nicht nur der Mario!  

Die Schlauen ziehen den Dummen die Hose aus! Manchmal ist es auch genau andersheru­m! Ich bin irgendwie immer im Zweifel wer ich gerade bin. Das Dilemma kennt wohl jeder!  

Geldhai Angenommen­ die Sammeln zwischen 0,01 - 0,05 und bei nächster Zulassung geht das Teil dann auf 0,20 - dann haben die Ihre 14 Mio ver4facht

Heute jedenfalls­ wieder volles Rohr down meiner Meinung nach - bin im PRE mit 2,5 ct loss raus  

Die vergangenen 3 Tage Sowas gibt es schonmal bei Werten die keine Zulassung bekommen haben etc ABER GBSN hat 2 FDA Zulassung und verliert 80 %  

Jetzt lassen Sie das Teil ein bisschen Atmen  

Wird aber meiner Meinung nach nicht von langer Dauer sein  

schön das es heute etwas ruhig zugeht beim kurs,
hoffe das es der anfang einer gegenbeweg­ung ist,
