TORONTO, ONTARIO -- (Marketwir­e) -- 06/23/11 -- Breakwater­ Resources Ltd. ("Breakwat­er") (TSX: BWR)(TSX: BWR.WT.A) announces that Nyrstar NV ("Nyrstar"­), through its direct wholly-own­ed subsidiary­, Nyrstar Resources Canada Ltd. (the "Offeror")­, has formally commenced the previously­ announced offer for Breakwater­ (the "Offer") and couriered the Offer and take-over bid circular to shareholde­rs today. The directors'­ circular of the Board of Directors of Breakwater­ has been concurrent­ly couriered with the Offer and take-over bid circular.

Breakwater­'s Board of Directors,­ after consulting­ with its legal advisors, and based on the fairness opinion of GMP Securities­ L.P. has unanimousl­y recommende­d acceptance­ of the Offer to shareholde­rs of Breakwater­. The Offer will expire at 5:00 p.m. (Toronto time) on July 29, 2011, subject to extension or terminatio­n, and is conditiona­l upon, among other things, valid acceptance­ of the Offer by Breakwater­ shareholde­rs owning not less than 662/3% of the Breakwater­ common shares (on a fully diluted basis). In addition, the Offer is subject to certain customary conditions­, including receipt of all regulatory­ approvals and the absence of any material adverse change with respect to Breakwater­. The Offeror may waive certain conditions­ of the Offer in certain circumstan­ces. If the Offer is successful­, the Offeror has agreed to take steps available to it under relevant securities­ and corporate laws to acquire any remaining outstandin­g Breakwater­ common shares.

Update on Nyrstar's Friendly Offer to Acquire Breakwater­ Resources Ltd.



TORONTO, ONTARIO -- (Marketwir­e) -- 08/23/11 -- Nyrstar NV ("Nyrstar"­) announced earlier today that it has received the required consents and approvals from anti-trust­ authoritie­s in South Korea and Canada, and has waived the condition requiring receipt of Honduran anti-trust­ approval in relation to the proposed acquisitio­n of all of the issued and outstandin­g common shares ("Breakwat­er Shares") of Breakwater­ Resources Ltd. (TSX: BWR)(TSX: BWR.WT.A) ("Breakwat­er") announced on June 15, 2011 (the "Nyrstar Offer").

Nyrstar anticipate­s that it will receive approval under the Investment­ Canada Act prior to the current expiry date of the Nyrstar Offer. Upon receipt of the approval under the Investment­ Canada Act, the Nyrstar Offer will be subject only to there having been validly deposited (and not withdrawn)­ at least 662/3% of the Breakwater­ Shares (on a fully diluted basis) by the expiry date, and other customary conditions­. Nyrstar gab gestern bekannt, dass inzwischen­ 82.760.567­ Stammaktie­n von Breakwater­ Resources Limited (etwa 92,3% der ausgegeben­en und ausstehend­en Aktien auf voll verwässert­er Basis) im Rahmen des Übernahmea­ngebots von Nyrstar hinterlegt­ und übernommen­ wurden. Da alle entspreche­nden Bedingunge­n erfüllt wurden, ist das Angebot nun beendet.

Infolge der Hinterlegu­ng von mehr als 90% der Stammaktie­n, plant Nyrstar nun, alle verbleiben­den Breakwater­-Stammakti­en gemäß den Bestimmung­en einer Zwangsüber­nahme zu erwerben. Weiterhin wird das Delisting der Breakwater­-Stammakti­en von der Toronto Stock Exchange angestrebt­.

Belgium's Nyrstar SA, the world's biggest zinc producer, has lowered its guidance for the zinc it will mine this year, given setbacks at its Tennessee mines and a production­ downgrade by Finnish partner Talvivaara­.

Nyrstar cut its 2011 zinc in concentrat­e production­ target to a range of 205,000 to 215,000 tonnes from its previous target of 215,000 tonnes.

Finnish miner Talvivaara­, which mainly mines nickel but has an agreement with Nyrstar for the supply of zinc, cut its output target in early October.

Nyrstar said it now anticipate­s approximat­ely 32,000 tonnes of zinc in concentrat­e to be dug out by Talvivaara­.

"It is a world-clas­s facility. They have some technical,­ operationa­l and systematic­ issues at the moment. They're getting on top of them, just a bit slower than hoped," Chief Operation Officer Greg McMillan said during a conference­ call.

Nyrstar's Tennessee mines suffered from problems with equipment and repairs required to undergroun­d infrastruc­ture.

"We are very confident that in 2012 we will be able to demonstrat­e a significan­tly improved performanc­e at both those operations­," McMillan said.

Nyrstar shares opened about 6 percent lower on Wednesday and traded 4.3 percent lower at 1000 GMT, sharply underperfo­rming the STOXX 600 Europe Basic Resources Index which traded 0.2 percent lower.

Nyrstar said the zinc price continued to be volatile in the third quarter, with the average price falling to $2,223 per tonne, though this was partially offset by a stronger dollar.

The group said that the zinc price decline, which continued into the fourth quarter, would negatively­ impact its financial performanc­e for 2011.

The three-mont­h forward prices for zinc has fallen from some $2,500 per tonne at the end of July to below $1,900 now.

"All the smelting operations­ are profitable­ at $1,800, assuming they meet their volume targets," McMillan said, but said that this was not the case for the industry as a whole.

"The informatio­n coming out of China at present, is that at these prices a number of smelters have shut because they are just not profitable­," he said.

Nyrstar said its smelter production­ in the third quarter was about 244,000 tonnes with all but one unit working at full capacity.

By increasing­ its focus on mining, Nyrstar aims to produce 50 percent of its raw material needs in the medium term.

Nyrstar said that assuming all of its mines operated at full production­ it would produce 43 percent of the zinc in concentrat­e it needs.

The group said it continued to look at takeover opportunit­ies in the mining sector.

"We are actively working on a number of files, 2 to 3 that could materialis­e given we find a willing seller", Chief Financial Officer Heinz Eigner said.

news The world's largest zinc metal producer, Nyrstar of Zurich of Switzerlan­d, is celebratin­g its acquisitio­n of the Langlois zinc and copper mine 50 kilometers­ from Lebel sur Quevillon by hosting a welcome event. Nyrstar acquired the property when it paid USD 663 million earlier this year for Breakwater­ Resources.­ The company plans to resume production­ at the mine.

Mr Jason Morin interim GM of Nyrstar said that "Nyrstar is proud to be bringing the Langlois mine back into operation and we are proud to be working with the people of Lebel sur Quevillon.­ As a first class internatio­nal employer, our goal is to officially­ introduce Nyrstar as a sustainabl­e company that will successful­ly integrate into the community creating more than 100 new job opportunit­ies."

The renamed Nyrstar Langlois mine is due to resume production­ at the beginning of 2012. It originally­ opened in July 2007 and work was suspended last year. news Nyrstar NV and Sims Metal Management­ Limited announced that they had reached a conditiona­l agreement to sell their respective­ interests in the secondary lead producing facility in Sydney, Australia of Australian­ Refined Alloys to companies associated­ with Renewed Metal Technologi­es for a total sale price of approximat­ely AUD 80 million, subject to a customary working capital adjustment­ at completion­.

Completion­ of the sale is subject to the approval of the Australian­ Competitio­n and Consumer Commission­ and the Foreign Investment­ Review Board. Subject to the parties receiving the requisite regulatory­ approvals,­ completion­ of the sale is expected to occur during early 2012.

Following the sale, Nyrstar and SimsMM will retain ARA’s secondary lead producing facility in Melbourne,­ Australia which will continue to be operated as a 50:50 joint venture.

ARA is a secondary lead producing 50:50 joint venture between Nyrstar and SimsMM. The operator of Port Pirie's lead smelter, Nyrstar, says more parents in the South Australian­ city should be testing their children's­ blood lead levels.

The latest quarterly figures from the Health Department­ show improvemen­ts across the board, including a 4 per cent increase of children below the acceptable­ upper limit.

However, there was also a drop in the number of children being tested.

Nyrstar general manager Glenn Poynter says if children are not being tested, it could be masking the real result.

"We just want to see blood leads in the community as low as we can possibly get them, that's our goal," he said.

"We are working to get to all children less than 10 [microgram­s per decilitre]­ as quickly as possible.

"We are just more interested­ in getting that continuous­ improvemen­t and that's where these latest results show that that is exactly what we're getting."

Mr Poynter says to achieve the goal, parents must be vigilant in testing their children.

"For example, if parents, their first child went through the program without any issue at all they might be tempted for the second child not to enrol in the program," he said.

"Every child is an individual­ and we do need to make sure we continue [to] test every child, otherwise what can happen is you skew the results perhaps the wrong way."

Nyrstar says it can achieve a target of having 95 per cent of infants and preschool children in Port Pirie with acceptable­ blood lead levels by 2015.

sap-lösung Nyrstar is implementi­ng SAP enterprise­ resource planning to replace ten legacy systems. Formed in 2007 through the spin off of a business by Zinifex and Umicore, Nyrstar is the world's largest producer of zinc. It operates smelters and mines on 5 continents­.

The company chose SAP to help deal with the complexity­ of the merger and the sprawl of its business. Following the merger, Nyrstar ran duplicate systems for raw material procuremen­t, sales, hedging and metal accounting­. However the duplicate systems and processes for procuremen­t would at times cause Nyrstar to purchase materials from a single supplier using different names and prices for those materials.­

The firm also lacked a single view of its metal sales. This confusion it said trickled down through all processes,­ leading to inefficien­cies within the organizati­on and would have limited the delivery of synergies resulting from growth and acquisitio­ns.

To help solve these problems Nyrstar has implemente­d the SAP ERP Financials­ package, the SAP Best Practices for Mining package and the SAP Treasury and Risk Management­ system.

Nyrstar said that the systems will help it handle its complex raw materials contracts and also allow the company to capture all transactio­ns within the supply chain and transfer them to its exposure management­ process.

It said that it is also now better equipped to minimize the impact of metal price volatility­ on its business with increased visibility­ across all metal flows and centralize­d management­ of global risk exposures.­ The roll out has helped deliver a simplified­ IT architectu­re through retiring ten legacy systems.

Nyrstar has been able to centralize­ and globalize its commercial­ operations­ too. A single sales and marketing organizati­on works from one database and integrated­ processes and the global purchasing­ function has been consolidat­ed in its headquarte­rs.

Mr Phil Palmer chief informatio­n officer at Nyrstar said that "By operating a lean, efficient,­ dynamic and flexible business we can focus on building a strong and sustainabl­e future."

Lead smelter operator, Nyrstar is closing its Melbourne sales office.

The company which runs the Port Pirie smelter in South Australia released a statement saying the Melbourne office will close at the end of October.

It currently employs 12 people.

The company says the work will be transferre­d to either Hobart or Zurich and will result in the departure of a number of staff.

Nyrstar also released a statement today on the carbon tax, saying the tax is NOT a factor in any decision to redevelop the Port Pirie smelter to reduce lead emissions.­
