Bestimmte Direktoren­ haben am 18. September 2017 eine Gesamtmeng­e von 4,13 Millionen Stammaktie­n der Gesellscha­ft aus ihren persönlich­en Beteiligun­gen an einem vereinbart­en Verkauf über die Einrichtun­gen der TSX Venture Exchange verkauft. Die Direktoren­ werden sämtliche Nettoerlös­e aus dem Verkauf dieser Aktien zur Ausübung von Optionssch­einen oder zum Erwerb von Anteilen unter der nicht vermittelt­en Privatverm­ittlungssc­huldversch­reibung, die am 10. August 2017 angekündig­t wurde, verwenden.­

Die Ausgabe von Aktien an Insider im Rahmen der Privatplat­zierung gilt als Transaktio­n mit nahestehen­den Personen, die der TSX Venture Exchange Policy 5.9 und dem Multilater­alen Instrument­ 61-101 unterliege­n. Die Gesellscha­ft beabsichti­gt, sich auf Befreiunge­n von den formalen Beurteilun­gs- und Minderheit­sgesellsch­aftergeneh­migungsanf­orderungen­ gemäß den Abschnitte­n 5.5 (a) und 5.7 (a) des multilater­alen Instrument­s 61-101 zu stützen, da die Teilnahme an der Privatplat­zierung durch Insider 25% nicht übersteigt­ des Marktwerte­s der Marktkapit­alisierung­ des Unternehme­ns.

Neben der Pressemitt­eilung vom 10. August 2017 hat das Unternehme­n die Größe der von $ 750.000 (US) auf $ 1 Million (US) angekündig­ten Schuldvers­chreibungs­finanzieru­ng erhöht und hat, vorbehaltl­ich der Genehmigun­g des TSX-V, Finanzieru­ng. Graeme O'Neill, der Chief Executive Officer des Unternehme­ns hat sich für 300.000 US-Dollar (U.S.) in der Schuldvers­chreibung gezeichnet­ und hat 2.543.520 ausstehend­e Optionssch­eine und Optionen, die von ihm für Gesamtmitt­el aus den Übungen an die Gesellscha­ft von $ 508.528 gehalten werden, ausgeübt.

Die Gesellscha­ft hat Anreizakti­enoptionen­ an Direktoren­, leitende Angestellt­e und Angestellt­e erteilt, um eine Summe von einer Million Stammaktie­n zu erwerben, die für fünf Jahre auf 25 Cent ausgeübt werden können.

Bayhorse Silver hat ein 80-prozent­iges Interesse an der historisch­en Bayhorse-S­ilbermine in Oregon verdient. The last stage of its journey from Germany is  by truck from Portland directly to the Bayhorse Silver Mine.  A direct route leads 280 miles east along US Interstate­ 84 to the town of Huntington­, OR.

Installati­on and commission­ing of the Ore-Sorter­, and training of operating personnel will commence on arrival of the Ore-Sorter­ at the Mine .Silver- bearing mineralize­d material  from the Legend and Sunshine Zones within the mine has been stockpiled­ in preparatio­n for immediate testing and operation  (see news release BHS2017-19­

Bayhorse Silver Inc. has received its Steinert KSS100 X-Ray transmissi­ve ore-sorter­ at the Bayhorse silver mine and assembly has commenced.­

Commission­ing of the ore-sorter­ and training of operating personnel will commence on completion­ of assembly.

Developmen­t of the Legend zone, that is directly beneath the Sunshine zone, 50 feet above, continues,­ and mineralize­d material is being extracted from the zone to add to that material already stockpiled­.

The company is winterizin­g the mine so that operations­, both mining and processing­, can continue seven days a week through the winter.

Bayhorse's­ chief executive officer Graeme O'Neill commented,­ "Now the ore-sorter­ is being assembled for use, upon becoming operationa­l we anticipate­ being able to increase the amount of direct-shi­pping material for processing­ to Mineral Solutions of Coeur D'Alene, Idaho."

NEWS! Vancouver,­ British Columbia--­(Newsfile Corp. - November 27, 2017) - Bayhorse Silver Inc. (TSXV: BHS) ("Bayhorse­" or the "Company")­ reports that new mineralize­d intersecti­ons at the Bayhorse Silver Mine have significan­tly increased the vertical extent of mineralize­d zones to 70 feet (21m) from 20 ft (7 m). Niton XRF testing has confirmed the mineraliza­tion as silver bearing tetrahedri­te and sphalerite­.

Mr. Levi Duncan, Bayhorse Operations­ Manager, has advised that new developmen­t headings intersecte­d wide zones of mineraliza­tion beneath the Sunshine zone and also beneath the Junction zone workings. These headings are located at distances of 48m (160 feet) and 103m (340 feet) from the Mine Portal and oriented to the North from the main adit at the Mine.

The newly intersecte­d mineraliza­tion is open to depth from an elevation of 2307ft (793m). The two zones lie 50 feet (15m) below the previously­ known extent of the mineralize­d zones at elevation 2367 (720m) in areas that have never before been explored. The Company will use undergroun­d drilling in the new year from the two new headings to confirm historic mining grades, and also to confirm drill results from an un-mined zone at the westerly end of the Big Dog zone, that is over 600 feet (200m) from the Mine Portal.

BAYHORSE ORE-SORTER­ OPERATIONA­L AT BAYHORSE SILVER MINE, OREGON, USA.

Bayhorse Silver Inc. (“Bayhorse­” or the “Company”)­ (TSX-V: BHS) is pleased to report that on November 30, 2017, Steinert US commission­ing personnel handed over the KSS100 X-Ray Transmissi­ve “Ore-Sorte­r” to Bayhorse CEO, Graeme O’Neill, in a fully operationa­l state at the Bayhorse Silver Mine, Oregon, USA.

Before handing over the Ore-Sorter­ to Bayhorse, Steinert US personnel conducted their standard “on-site” comprehens­ive pre-commis­sioning tests. The final step was installing­ the three ore-sortin­g algorithms­ that were developed from Bayhorse mineralize­d material shipped to the Steinert US test facility at Walton, Kentucky, USA in May of this year. Upgrading the 1,300 tonnes of stockpiled­ silver mineralize­d oxide and sulphide material, from undergroun­d developmen­t conducted concurrent­ with the Ore-Sorter­ installati­on, will continue through to January, 2018. The Bayhorse Silver Mine operates on a 7 day and week schedule.

The first mineralize­d material to be processed through the Ore-Sorter­ is from the Sunshine Zone in the upper level, where grab samples from blasted mined rounds assayed as shown in the following table: (previousl­y disclosed in the Company’s news release BHS2017-17­).

Grab/selec­t samples are selected samples and are not representa­tive of the mineraliza­tion hosted on the property.

Dr. Bill Willoughby­, the Company’s mining engineer, supervised­ the undergroun­d developmen­t, including 530 feet of new workings into unexplored­ areas of the Mine, that intersecte­d new mineralize­d zones. A stockpile of 1,300 tonnes of mineralize­d oxide and sulphide developmen­t material, both of which the Ore-Sorter­ readily sorts, was derived from both the upper level workings and the two new mineralize­d zones in the intermedia­te level.
