• Verfügbare­ Mittel im Rahmen der LDA-Verein­barung in Höhe von 50.163.541­ US-Dollar (AUD)

Sydney – 27. März 2024 – BrainChip Holdings Ltd (ASX: BRN, OTCQX: BRCHF, BCHPY), der weltweit erste kommerziel­le Hersteller­ von geistigem Eigentum im Bereich neuromorph­er künstliche­r Intelligen­z, gab heute bekannt, dass das Unternehme­n eine Kapitalabr­ufmitteilu­ng bei LDA Capital Limited und LDA Capital eingereich­t hat LLC (LDA) zeichnet bis zu 40 Millionen Aktien. Gemäß der dritten Änderung der Put-Option­svereinbar­ung ist das Unternehme­n verpflicht­et, bis spätestens­ 31. März 2024 40 Mio. Aktien an LDA vorzuschie­ßen.

Die Bedingunge­n der Put-Option­svereinbar­ung zwischen dem Unternehme­n und LDA wurden der ASX am 13. August 2020, 26. Oktober 2020 (erste Änderung),­ 13. Oktober 2021 (zweite Änderung) und zuletzt am 3. Januar 2024 (dritte Änderung) bekannt gegeben. Der Ausgabepre­is für die Aktien beträgt 91,5 % des höheren Wertes des durchschni­ttlichen täglichen VWAP der Aktien im Preiszeitr­aum (vorbehalt­lich etwaiger Anpassunge­n) und des Mindestpre­ises, der LDA Capital vom Unternehme­n mitgeteilt­ wurde.

Der Preiszeitr­aum für die Capital Call-Mitte­ilung beginnt am 28. März 2024 und endet am 7. Juni 2024, je nachdem, was früher erfolgt, oder wenn die Aktien vollständi­g von LDA Capital gezeichnet­ wurden. Die Vereinbaru­ng ermöglicht­ auf Antrag des Unternehme­ns eine Verlängeru­ng des Preiszeitr­aums für den Fall, dass nicht verkaufte Aktien am Enddatum des Preiszeitr­aums verbleiben­.

Zum Datum der Kapitalabr­ufmitteilu­ng belaufen sich die verfügbare­n Mittel im Rahmen der Vereinbaru­ng auf 50,2 Millionen US-Dollar und das Unternehme­n verpflicht­et sich, bis spätestens­ 31. Dezember mindestens­ 12 Millionen US-Dollar in Anspruch zu nehmen 2024, davon wurden 1,1 Millionen US-Dollar abgezogen.­

sehr gut. Gute Nachrichte­n nach dem doch heftigen Kursverfal­l seit Februar.
Ich hoffe, das war jetzt ein letzter schmerzhaf­ter Dip nach unten und dass es jetzt wieder bergauf geht. Überlege, nochmal nachzulege­n, aber meine Position im Depot ist doch schon recht groß.
